Terms of Service

These Terms of Service govern your use of the Web Pinnacles website and the engagement of our digital marketing services. Please read them carefully before booking a consultation or entering into a service agreement.

Overview

Agreement Between You and Web Pinnacles

Web Pinnacles (“we,” “our,” or “us”) operates webpinnacles.com and provides digital marketing services including Paid Advertising, Local SEO, Funnels & CRM, Conversion Rate Optimization, and Appointment Setting. These Terms of Service (“Terms”) apply to all visitors, users, and clients.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please discontinue use of our website and do not enter into a service agreement with us.

Services & Scope of Work

Services Offered

Web Pinnacles provides the following digital marketing services to home service contractors across the USA:

  • Google Ads & Paid Social Media Advertising (Meta, TikTok)
  • Local SEO & Google Business Profile Optimization
  • Sales Funnel Development & CRM Setup (GoHighLevel, ClickFunnels)
  • Conversion Rate Optimization (CRO) & Landing Page Design
  • Appointment Setting & Lead Qualification

Service Agreements

The specific scope of work, deliverables, timelines, and fees for each client engagement are defined in a separate Service Agreement or Statement of Work (“SOW”) provided at onboarding. These Terms apply in conjunction with that agreement. In the event of a conflict, the signed Service Agreement takes precedence.

Client Capacity & Eligibility

Web Pinnacles operates a 15-client capacity model as a deliberate quality commitment. Acceptance as a client is at our sole discretion following a discovery call and mutual agreement. We reserve the right to decline any engagement that falls outside our service expertise or capacity.

Section 2

Client Obligations

A successful engagement requires active cooperation from both parties. As a client, you agree to the following obligations:

Account Access

Provide timely access to advertising accounts, Google Business Profile, website, CRM, and analytics platforms required to deliver the agreed services.

Accurate Information

Supply accurate, complete, and up-to-date information about your business, service area, target customer, and any regulatory requirements that apply to your trade.

Timely Responses

Respond to requests for approvals, feedback, or information within 48 business hours. Delays in client responses may affect campaign launch timelines and results.

Ad Spend Budget

Maintain the agreed minimum advertising budget directly with the relevant ad platforms (Google Ads, Meta, etc.). Ad spend is paid directly to platforms and is separate from management fees.

Lawful Use

Ensure your business operates lawfully in all jurisdictions where we run campaigns. You are solely responsible for compliance with trade licensing, consumer protection, and advertising standards applicable to your industry.

Lead Follow-Up

Follow up promptly on leads delivered through your CRM or appointment system. Web Pinnacles is not responsible for revenue outcomes resulting from failure to contact or convert delivered leads.

Section 3

Payment Terms

Fees & Invoicing

Service fees are invoiced monthly in advance unless otherwise stated in your Service Agreement. All fees are in USD. Invoices are due within 7 calendar days of the invoice date. Specific pricing is confirmed in writing prior to onboarding.

Late Payments

Invoices not paid within 14 days of the due date may result in suspension of active campaigns and services. Web Pinnacles reserves the right to charge a late payment fee of 1.5% per month on overdue balances. Suspended campaigns will resume within 3 business days of payment receipt.

Ad Spend Is Separate

Advertising spend paid to Google, Meta, TikTok, or other platforms is entirely separate from Web Pinnacles management fees. You are billed directly by those platforms. Web Pinnacles does not mark up ad spend and holds no funds on your behalf unless explicitly stated in your Service Agreement.

Refund Policy

Due to the nature of digital marketing services — which involve immediate labour, platform configuration, and strategic work — fees paid are non-refundable unless otherwise agreed in writing. If you are unsatisfied with our services, please contact us at hello@webpinnacles.com to discuss a resolution before initiating any dispute.

Section 4

Results, Performance & Disclaimers

We are committed to transparency about what we deliver and what we cannot guarantee.

Digital marketing outcomes depend on multiple factors outside our control, including your local market competition, ad platform algorithm changes, your response speed to leads, and your pricing relative to competitors. While we publish verified case study results as benchmarks, these are not guarantees of the results you will achieve. Past performance of other clients does not guarantee future results for your business.
Google, Meta, TikTok, and other advertising platforms change their policies, algorithms, and ad formats regularly and without notice. Web Pinnacles is not liable for any impact on campaign performance resulting from third-party platform changes. We will make commercially reasonable efforts to adapt your campaigns promptly to any such changes.
Local SEO and Google Maps ranking improvements typically take 3–6 months to materialize, depending on your market’s competitive landscape, your domain age, and the consistency of your Google Business Profile history. Timeline estimates provided during onboarding are projections based on current market data, not contractual commitments.
The “98% of paid ads clients see positive ROI within 45 days” benchmark applies to clients who (a) maintain a minimum $1,500/month advertising budget, (b) complete full onboarding including CRM setup and call tracking, and (c) follow up on delivered leads within the 5-minute response window. Results for clients not meeting these criteria may vary significantly.

Intellectual Property

Web Pinnacles Property

The Web Pinnacles name, logo, the Booked-Job Pipeline™ framework, all website content, methodologies, templates, strategies, reports, and proprietary systems are the exclusive intellectual property of Web Pinnacles. You may not copy, reproduce, or distribute any of these materials without prior written consent.

Client-Owned Deliverables

Upon receipt of full payment, custom deliverables created exclusively for you — including landing pages, ad creatives, and funnel builds — become your property. Campaign data, reporting dashboards, and account structures within your owned advertising accounts are yours upon termination. Generic templates, frameworks, and methodology documentation remain the property of Web Pinnacles.

Case Study & Testimonial Use

By working with Web Pinnacles, you grant us permission to reference your campaign results (in anonymized or attributed form, depending on your preference) in case studies, website content, and marketing materials. We will always seek your explicit approval before using your business name or logo publicly. You may withdraw this permission at any time in writing.

Section 6

Termination & Offboarding

Month-to-Month Agreements

Where no fixed-term contract is in place, either party may terminate the engagement with 30 days’ written notice. Notice must be sent to hello@webpinnacles.com. Services continue at full capacity through the notice period and any outstanding invoices remain payable.

Termination for Cause

Web Pinnacles reserves the right to terminate any engagement immediately and without notice if the client: (a) fails to pay two or more consecutive invoices, (b) provides false or misleading information, (c) engages in conduct that violates advertising platform policies or applicable law, or (d) acts in a manner that is abusive or threatening toward our team.

Offboarding Process

Upon termination, we will: transfer administrative access to all client-owned advertising accounts and platforms; provide a final campaign performance report; remove our team members’ access from all client accounts within 5 business days. Campaign data and creative assets belonging to you will be delivered within 10 business days of the termination date.

Section 7

Limitation of Liability

Maximum Liability

To the maximum extent permitted by law, Web Pinnacles’ total liability to you for any claim arising out of or relating to these Terms or any service agreement shall not exceed the total fees paid by you to Web Pinnacles in the 3 months immediately preceding the claim.

Excluded Damages

Web Pinnacles shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of revenue, loss of profits, loss of business opportunity, loss of data, or reputational harm — even if we have been advised of the possibility of such damages.

Third-Party Platforms

Web Pinnacles is not responsible for outages, policy changes, account suspensions, or data losses caused by third-party platforms including Google, Meta, GoHighLevel, Calendly, or any other tool used in the delivery of services. We will work diligently to resolve any such issues but cannot guarantee platform uptime or policy consistency.

Indemnification

You agree to indemnify and hold harmless Web Pinnacles, its employees, contractors, and partners from any claims, losses, damages, or expenses (including legal fees) arising from: your breach of these Terms, your violation of any third-party rights, or any content or information you provide to us that proves to be inaccurate or unlawful.

Section 8

General Provisions

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law provisions. Any disputes arising from these Terms or any service agreement shall be resolved first through good-faith negotiation, then through binding arbitration in Bexar County, Texas, unless both parties agree otherwise in writing.
Both parties agree to keep confidential any non-public information shared during the engagement, including business strategies, campaign data, pricing, and client lists. This obligation survives termination of the service agreement for a period of 2 years. Neither party will use the other’s confidential information for any purpose beyond the scope of the agreed services.
During the term of any active service agreement and for 12 months following termination, you agree not to directly solicit or hire any Web Pinnacles team member or contractor who was involved in delivering your services. A breach of this clause will be subject to a placement fee equal to 25% of the individual’s annual compensation.
These Terms, together with your signed Service Agreement and any addenda, constitute the entire agreement between the parties. We may update these Terms periodically. Material changes will be communicated to active clients via email at least 14 days before taking effect. Continued engagement after that date constitutes acceptance of the updated Terms.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary or severed from the agreement. The remaining provisions shall continue in full force and effect.
You may use webpinnacles.com for lawful purposes only. You agree not to: attempt to gain unauthorized access to any part of the website or its servers; scrape, copy, or republish our content without permission; introduce viruses or malicious code; or use our website to transmit unsolicited commercial communications. We reserve the right to restrict access to any user who violates these terms.
